Not sure how the officer in your scenario manages to walk in and observe the exchange of money, the agreement, and the act... \

 If a cop heard a john and a prostitute on the street agree to a sex act in exchange for money then they could arrest both but most prostitution arrests are either under cover officers one part of the equation or the other.
